Terms and Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you" or "User") and Hearth Dating Inc. ("Hearth," "we," "us," or "our"). These Terms govern your access to and use of the Hearth mobile application ("App") and all related services (collectively, the "Service").

Please read these Terms carefully. They contain a binding arbitration clause and class action waiver in Section 15 that affect your legal rights.

1. Agreement to Terms

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

You must be at least eighteen (18) years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old. If you are under 18, you may not create an account or use the Service in any capacity.

2. Eligibility

To use the Service, you must:

  1. (a) Be at least eighteen (18) years of age;
  2. (b) Have the legal capacity to enter into a binding contract;
  3. (c) Not be a person barred from using the Service under the laws of the United States or any other applicable jurisdiction;
  4. (d) Not be required to register as a sex offender in any state, federal, or local sex offender registry;
  5. (e) Not have been convicted of a felony or any offense involving sexual violence, sexual abuse, sexual exploitation, domestic violence, or stalking;
  6. (f) Not maintain more than one (1) account on the Service at any time; and
  7. (g) Comply with these Terms and all applicable local, state, national, and international laws, rules, and regulations.

By creating an account, you represent and warrant that all of the above conditions are true. If any of these conditions cease to be true at any time, you must immediately stop using the Service and notify us.

3. Your Account

3.1 Account Creation and Accuracy. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate, current, and complete. You may not impersonate any person or entity or misrepresent your identity, age, or affiliation with any person or entity.

3.2 One Account Per Person. You may create and maintain only one (1) account. If we determine that you have created or are operating multiple accounts, we may suspend or terminate all such accounts.

3.3 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.4 Account Deletion. You may delete your account at any time through the Settings section of the App. Upon account deletion, your data will be handled in accordance with our Privacy Policy.

4. The Service

Hearth is a dating application that provides the following features:

4.1 AI Dating Coach (Ember). An artificial intelligence conversational agent named Ember that conducts text and voice conversations with you to understand your personality, values, and relationship preferences. Ember generates structured personality profiles based on these conversations, which are used for compatibility matching.

4.2 Daily Match Recommendations. AI-generated compatibility scoring produces a limited number of daily match recommendations. Matching is algorithmic, not manually curated. The number and availability of matches may vary and is not guaranteed.

4.3 Peer-to-Peer Messaging. Text-based messaging between users who have expressed mutual interest in each other ("mutual matches"). Messaging is available only between mutual matches.

4.4 Date Planning. AI-assisted date planning with venue recommendations sourced from third-party providers (Google Places API). Venue information is provided by third parties, and Hearth does not guarantee the accuracy, availability, or quality of any recommended venue.

4.5 Relationship Mode (Spark). An optional mode for couples in established relationships. Spark provides AI-facilitated check-ins, a shared conversation space, and milestone tracking. Spark is activated by mutual consent of both partners.

4.6 ID Verification. An identity verification process conducted through a third-party provider (Trusona) to confirm age and identity document information. See Section 8 for important limitations.

4.7 Connection Coaching. AI-facilitated coaching within active matches, available on a user-initiated basis. Connection coaching is provided by Ember and is subject to the limitations described in Section 5.

5. AI Features

5.1 Ember Is Artificial Intelligence. Ember is an artificial intelligence system. Ember is not a human being. Conversations with Ember are generated algorithmically by AI models provided by Anthropic (text) and Google (voice). Ember does not have feelings, consciousness, or independent judgment.

5.2 Not Professional Advice. Ember's responses do not constitute professional advice of any kind, including but not limited to dating advice, medical advice, psychological or mental health advice, legal advice, financial advice, or safety advice. You should not rely on Ember's responses as a substitute for professional consultation. If you are experiencing a mental health crisis or safety emergency, contact emergency services (911) or the applicable crisis hotline.

5.3 Personality Extraction. Conversations with Ember are analyzed to generate structured personality profiles ("preference documents") across multiple categories. These profiles, and the numerical embeddings derived from them, are used as inputs to the compatibility scoring algorithm that produces your match recommendations. By using the Service, you acknowledge and consent to this processing.

5.4 AI-Generated Match Portraits. When Ember recommends a match to you, Ember generates a written description of that person ("portrait"). Portraits are Ember's AI-generated interpretation based on that person's conversations and profile data. Portraits are not factual statements, verified descriptions, or endorsements. They may contain inaccuracies, omissions, or subjective characterizations.

5.5 Voice Processing. If you choose to use voice conversations with Ember, your audio is streamed in real-time to Google's Gemini AI for processing. Hearth does not store voice audio recordings. Only text transcripts of voice conversations are retained. Voice processing is subject to Google's applicable terms and data handling practices.

5.6 Automated Decision-Making. Hearth uses AI-based automated decision-making for compatibility scoring and match generation. This process involves algorithmic analysis of your personality profiles and preferences compared against those of other users. Matching is not performed by human reviewers.

5.7 No Guarantee of Outcomes. Hearth does not guarantee any particular outcome from using the Service, including but not limited to: the quality, compatibility, or number of matches; the formation of any relationship; the accuracy of AI-generated content; or the suitability of any match recommendation. AI-generated content may contain errors, biases, or inaccuracies.

6. User Conduct

You agree not to:

  1. (a) Harass, threaten, intimidate, stalk, or abuse any other user;
  2. (b) Post or transmit content that is hateful, discriminatory, defamatory, obscene, or that promotes violence or illegal activity;
  3. (c) Use the Service for any commercial purpose, including advertising, solicitation, or promotion of goods or services;
  4. (d) Create a false or misleading profile, impersonate another person, or misrepresent your identity, age, or relationship status;
  5. (e) Use automated means (bots, scrapers, crawlers, or similar technology) to access, collect data from, or interact with the Service;
  6. (f) Attempt to gain unauthorized access to any portion of the Service, other users' accounts, or any systems or networks connected to the Service;
  7. (g) Upload or transmit viruses, malware, or other harmful code;
  8. (h) Use the Service to engage in any illegal activity;
  9. (i) Solicit money, passwords, or personal identifying information from other users;
  10. (j) Post content that infringes any third party's intellectual property rights, privacy rights, or other rights;
  11. (k) Interfere with or disrupt the Service or servers or networks connected to the Service; or
  12. (l) Violate any applicable law, regulation, or these Terms.

Hearth reserves the right, but is not obligated, to investigate and take appropriate action in response to violations of this Section, including suspension or termination of your account.

7. Content

7.1 Your Content. You retain ownership of the content you submit to the Service, including your profile information, photos, messages, and conversation content ("User Content"). By submitting User Content to the Service, you grant Hearth a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, process, and display your User Content solely for the purposes of operating, providing, and improving the Service. This includes displaying your profile information and photos to other users, processing your content with AI systems for personality extraction and matching, and generating AI-based match portraits that reference your profile data.

7.2 Content Responsibility. You are solely responsible for your User Content. You represent and warrant that you own or have the necessary rights and permissions to submit your User Content and to grant the license described above.

7.3 Content Moderation. Hearth reserves the right, but is not obligated, to review, monitor, moderate, refuse, or remove any User Content at its sole discretion, for any reason or no reason, with or without notice to you. Removal of content does not obligate Hearth to remove all copies or instances of that content.

8. ID Verification

8.1 Purpose. Hearth requires ID verification to confirm the age and identity document information of users before they are eligible to receive match recommendations. ID verification is conducted to promote trust within the user community.

8.2 Third-Party Provider. ID verification is processed by Trusona, a third-party identity verification provider. When you undergo ID verification, document capture and processing occur within Trusona's hosted verification flow. Your identity document images are handled by Trusona and do not pass through Hearth's servers. Hearth receives and stores only extracted verification results (such as name, date of birth, document type, expiration date, and risk scores).

8.3 Limitations. ID verification confirms that a user has presented a valid identity document. ID verification is NOT a criminal background check. ID verification does not verify a user's character, conduct, criminal history, mental health, physical health, intentions, or any other attribute beyond the information contained on the identity document itself. See Section 9 for important disclaimers.

9. SAFETY AND NO BACKGROUND CHECKS

HEARTH DOES NOT CONDUCT CRIMINAL BACKGROUND CHECKS ON ITS USERS OR OTHERWISE INQUIRE INTO THE BACKGROUND OF ITS USERS. HEARTH MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT, IDENTITY, HEALTH, PHYSICAL CONDITION, INTENTIONS, LEGITIMACY, OR VERACITY OF USERS.

ID VERIFICATION CONFIRMS IDENTITY DOCUMENT INFORMATION ONLY. ID VERIFICATION IS NOT A CRIMINAL BACKGROUND CHECK, A SEX OFFENDER REGISTRY CHECK, A CREDIT CHECK, OR ANY OTHER FORM OF BACKGROUND SCREENING. THE FACT THAT A USER HAS COMPLETED ID VERIFICATION DOES NOT MEAN THAT USER IS SAFE, TRUSTWORTHY, OR FREE OF CRIMINAL HISTORY.

YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS. HEARTH IS NOT RESPONSIBLE FOR THE ACTIONS OR OMISSIONS OF ANY USER, WHETHER ONLINE OR OFFLINE. YOU ASSUME ALL RISK ASSOCIATED WITH INTERACTING WITH OTHER USERS, INCLUDING BUT NOT LIMITED TO MEETING IN PERSON.

ALWAYS EXERCISE CAUTION AND COMMON SENSE WHEN COMMUNICATING WITH OR MEETING ANOTHER USER. DO NOT SHARE PERSONAL FINANCIAL INFORMATION. MEET IN PUBLIC PLACES FOR INITIAL IN-PERSON MEETINGS. INFORM A FRIEND OR FAMILY MEMBER OF YOUR PLANS. IF YOU FEEL UNSAFE AT ANY TIME, REMOVE YOURSELF FROM THE SITUATION AND CONTACT LOCAL LAW ENFORCEMENT.

HEARTH ENCOURAGES ALL USERS TO REVIEW SAFETY RESOURCES AND TO REPORT ANY CONCERNING BEHAVIOR THROUGH THE APP'S REPORTING FEATURES.

10. Matching and Connections

10.1 Algorithmic Matching. Match recommendations are generated by an automated compatibility scoring algorithm that analyzes personality profiles, preferences, and other factors derived from your use of the Service. Matching is not performed or reviewed by humans.

10.2 No Guarantee of Matches. Hearth does not guarantee that you will receive any matches, that matches will meet your expectations, or that matches will result in any particular outcome. The number of daily matches is limited and may vary based on factors including your location, preferences, and the availability of compatible users.

10.3 Mutual Interest Required. A connection ("match") between two users is created only when both users have independently expressed interest in each other. Expressing interest in a user does not guarantee that the other user will reciprocate.

10.4 Match Expiration. Match recommendations and connections may expire or become unavailable. Hearth reserves the right to modify the availability, duration, and presentation of matches at any time.

10.5 Pass Cooldown. If you pass on a recommended match, that profile may be subject to a cooldown period before it can be recommended to you again.

11. Termination

11.1 Termination by Hearth. Hearth may suspend or terminate your account at any time, with or without cause, with or without notice, including but not limited to: (a) violation of these Terms; (b) conduct that Hearth, in its sole discretion, determines is harmful to other users, third parties, or Hearth's business interests; (c) upon request by law enforcement or other government agencies; or (d) extended periods of inactivity.

11.2 Termination by You. You may delete your account at any time through the Settings section of the App. Account deletion will be processed in accordance with our Privacy Policy.

11.3 Effect of Termination. Upon termination, your right to use the Service ceases immediately. Sections 5, 7, 9, 12, 13, 14, 15, 16, 17, and 19 survive termination.

12. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HEARTH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

HEARTH DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (B) ANY DEFECTS IN THE SERVICE WILL BE CORRECTED; (C) THE SERVICE OR THE SERVERS THAT MAKE THE SERVICE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (D) THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE, RELIABLE, OR SATISFACTORY; OR (E) ANY MATCHES, CONNECTIONS, OR INTERACTIONS FACILITATED BY THE SERVICE WILL LEAD TO ANY PARTICULAR OUTCOME.

HEARTH DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY AI-GENERATED CONTENT, INCLUDING BUT NOT LIMITED TO EMBER'S RESPONSES, MATCH PORTRAITS, COMPATIBILITY SCORES, CONNECTION COACHING, OR DATE PLANNING RECOMMENDATIONS.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM HEARTH OR THROUGH THE SERVICE, SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. IN SUCH JURISDICTIONS, THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. IN THAT EVENT, SUCH WARRANTIES ARE LIMITED IN DURATION TO THE MINIMUM PERIOD PERMITTED BY LAW.

13. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HEARTH, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR: LOSS OF PROFITS, GOODWILL, USE, OR DATA; PERSONAL INJURY OR EMOTIONAL DISTRESS; THE CONDUCT OF ANY USER (WHETHER ONLINE OR OFFLINE); ANY CONTENT OR INFORMATION POSTED ON OR THROUGH THE SERVICE; OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF HEARTH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT LIMITING THE FOREGOING, HEARTH SHALL NOT BE LIABLE FOR:

  1. (A) ANY INTERACTIONS, COMMUNICATIONS, OR MEETINGS BETWEEN USERS, WHETHER CONDUCTED THROUGH THE SERVICE OR IN PERSON;
  2. (B) ANY RELIANCE ON AI-GENERATED CONTENT, INCLUDING BUT NOT LIMITED TO EMBER'S RESPONSES, MATCH RECOMMENDATIONS, MATCH PORTRAITS, COMPATIBILITY ASSESSMENTS, CONNECTION COACHING, OR DATE PLANNING SUGGESTIONS;
  3. (C) THE QUALITY, SUITABILITY, OR COMPATIBILITY OF ANY MATCH;
  4. (D) EMOTIONAL DISTRESS, DISAPPOINTMENT, OR PSYCHOLOGICAL HARM ARISING FROM USE OF THE SERVICE OR INTERACTIONS WITH OTHER USERS;
  5. (E) LOSS OF OR INABILITY TO ACCESS USER DATA, TO THE EXTENT SUCH LOSS IS BEYOND HEARTH'S REASONABLE CONTROL;
  6. (F) ANY ACTIONS OR OMISSIONS OF THIRD-PARTY SERVICE PROVIDERS, INCLUDING BUT NOT LIMITED TO IDENTITY VERIFICATION PROVIDERS, AI SERVICE PROVIDERS, OR VENUE RECOMMENDATION PROVIDERS; OR
  7. (G) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR CONTENT OR DATA.

TO THE EXTENT PERMITTED BY APPLICABLE LAW, HEARTH'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (I) ONE HUNDRED DOLLARS ($100.00 USD); OR (II) THE AMOUNT, IF ANY, YOU PAID TO HEARTH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, HEARTH'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

14. Indemnification

You agree to indemnify, defend, and hold harmless Hearth, its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your interactions with other users; (d) your violation of these Terms; (e) your violation of any applicable law, regulation, or third-party right; or (f) any misrepresentation made by you. Hearth reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify Hearth, and you agree to cooperate with Hearth's defense of such claims.

15. Dispute Resolution -- Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

15.1 Agreement to Arbitrate. You and Hearth agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (collectively, "Disputes") will be resolved exclusively through final and binding individual arbitration, rather than in court, except as set forth in Sections 15.5 and 15.6 below.

15.2 Arbitration Provider and Rules. Arbitration will be administered by the American Arbitration Association ("AAA") under the AAA Consumer Arbitration Rules then in effect, as modified by this Section 15. The AAA Consumer Arbitration Rules are available at www.adr.org. If the AAA is unavailable, the parties shall agree on an alternative arbitration provider, or a court of competent jurisdiction shall appoint one.

15.3 Arbitration Procedures. The arbitration shall be conducted by a single arbitrator. The arbitrator shall have exclusive authority to resolve all Disputes, including the arbitrability of any claim. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The arbitration may be conducted in person, by telephone, by videoconference, or based on written submissions, as determined by the arbitrator.

15.4 CLASS ACTION WAIVER. YOU AND HEARTH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, MULTI-PARTY, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS, CONSOLIDATED, MULTI-PARTY, OR REPRESENTATIVE PROCEEDING. IF THIS CLASS ACTION WAIVER IS FOUND TO BE UNENFORCEABLE, THEN THE ENTIRETY OF THIS ARBITRATION AGREEMENT (EXCEPT FOR THE WAIVER OF JURY TRIAL) SHALL BE NULL AND VOID.

15.5 Exception: Sexual Assault and Sexual Harassment Claims. Notwithstanding the foregoing, pursuant to the federal Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act of 2021 (9 U.S.C. sections 401-402), claims alleging sexual assault or sexual harassment are exempt from this arbitration agreement. A party alleging such claims may elect to bring those claims in court rather than in arbitration.

15.6 Small Claims Court Exception. Either party may bring a qualifying claim in small claims court in the county of your residence or Delaware, provided the claim falls within the jurisdictional limits of that small claims court and remains on an individual (non-class, non-representative) basis.

15.7 Opt-Out. You may opt out of this arbitration agreement by sending a written notice of your decision to opt out to legal@hearthdating.com within thirty (30) days of the date you first create an account on the Service. Your opt-out notice must include your full name, the email address associated with your Hearth account, and a clear statement that you wish to opt out of arbitration. If you opt out, neither you nor Hearth will be required to arbitrate Disputes, but all other provisions of these Terms will remain in effect.

15.8 Arbitration Fees and Costs. Hearth will pay all AAA arbitration filing fees, administrative fees, and arbitrator fees that exceed the amount of the filing fee you would have paid to initiate the Dispute in small claims court in your county of residence (or, if greater, $25.00 USD). Each party shall bear its own attorneys' fees unless the arbitrator determines that a claim or defense was frivolous, in which case the arbitrator may award reasonable attorneys' fees to the prevailing party.

15.9 Severability. If any portion of this Section 15 is found to be unenforceable, the remaining portions shall remain in full force and effect. If the class action waiver in Section 15.4 is found to be unenforceable, then Section 15 in its entirety (except for the waiver of jury trial) shall be null and void.

15.10 Survival. This arbitration agreement shall survive the termination or deletion of your account and the termination of these Terms.

15.11 WAIVER OF JURY TRIAL. TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND HEARTH EACH WAIVE ANY RIGHT TO A JURY TRIAL IN CONNECTION WITH ANY DISPUTE.

16. Governing Law

These Terms and any Disputes arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law provisions. For any Disputes not subject to arbitration, you and Hearth agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Delaware.

17. Section 230 Notice

Hearth is an interactive computer service that facilitates communication between users. User Content, including profile information, photos, and messages, is created and provided by individual users, not by Hearth.

Hearth is not the publisher or speaker of any User Content transmitted through the Service. Hearth is not responsible for User Content, including its accuracy, completeness, legality, reliability, or appropriateness.

Hearth reserves the right to moderate, restrict, remove, or refuse to display any User Content, in whole or in part, at its sole discretion and in good faith, for any reason or no reason, with or without notice to the affected user. The exercise or non-exercise of this right does not create any obligation or liability for Hearth regarding any User Content.

AI-generated content, including Ember's responses, match portraits, and coaching suggestions, is produced by automated systems and does not represent Hearth's own views, opinions, or endorsements. Hearth may review, modify, or remove AI-generated content at its discretion.

18. Changes to Terms

Hearth may modify these Terms at any time. If we make material changes, we will notify you by email (using the email address associated with your account) or by posting a notice within the App prior to the changes taking effect. The "Last Updated" date at the top of these Terms will be revised accordingly.
